Not everyone will want to use AFMBE to run a Army of Darkness game. Not everyone who will want AoD will even have AFMBE, so buying it (and D&Z, as you suggest) would actually cost them more money than just buying AoD.

AoD is also using the more cinematic version of the rules, found in Buffy and Angel. That means it will also include rules for Drama Points, which definitely fits with this movie.

It's going to have rules for running mass battles, which neither AFMBE nor Dungeons & Zombies has.

This is a *license*. It's a safe bet that in order to get the official license, Eden had to make AoD it's own rpg, and not a suppliment for AFMBE.

You don't. Anyone who doesn't want to buy AoD can use AFMBE (you don't even need Dungeons and Zombies to run this, as you could do it with the main rulebook). Pretty simple solution, isn't it?
